These Terms & Conditions (“Terms”) govern your access to and use of the LogicNodes platform and related services provided by LogicNodes ApS (CVR: DK45318362), Sletvej 2D, 8310 Tranbjerg, Denmark (“LogicNodes”, “we”, “us”, or “our”).
By accessing or using LogicNodes, you agree to be bound by these Terms. If you do not agree, you may not use the platform.
The LogicNodes platform is offered exclusively to business customers and is not directed at consumers. The Danish Consumer Contracts Act (forbrugeraftaleloven), including the 14-day right of withdrawal, does not apply to your use of the platform. By creating an account or activating a paid subscription, you confirm that you are entering into this agreement in the course of your business activities.
0. Definitions
The following terms have the meanings set out below wherever they appear in these Terms:
- “Services” — the LogicNodes platform, including the web application, APIs, integrations, and any related features made available under a Subscription plan.
- “Account” — the registered account created to access the Services, associated with an Organisation.
- “Organisation” — a legal entity or individual registered to use the Services.
- “Administrator” — a user within an Organisation with account management permissions.
- “Customer Content” — any data, text, audio, files, or other materials uploaded to or processed through the Services by you or your users.
- “Outputs” — content generated by AI models through the Services in response to Customer Content.
- “Subscription” — a paid or free plan granting access to the Services for a defined period.
- “Usage” — the monetary value of AI inference requests consumed, denominated in the account’s billing currency and tracked against the included usage allowance of the Subscription plan.
- “Confidential Information” — any non-public information disclosed by one party to the other in connection with these Terms, including business plans, pricing, technical documentation, and Customer Content.
- “Acceptable Use Policy” — the policy at /en/acceptable-use-policy/ governing permitted and prohibited uses of the Services.
1. Services
The specific features, service levels, and usage limits applicable to your account are defined in your subscription plan.
2. Accounts & Access
2.1 Organizational Requirement
Access to the LogicNodes platform requires membership in an organization. Individual users may not use the platform outside of an organizational context. Tasks and automations are performed by users on behalf of their organization, within the access level and permissions granted to them by their organization’s administrator.
2.2 Administrator Responsibility
Organization administrators are responsible for:
- Inviting and managing users within their organization;
- Ensuring that all users within their organization comply with these Terms;
- Configuring access levels and permissions appropriately.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at kontakt@logicnodes.ai if you suspect unauthorized access.
3. Payment & Billing
3.1 Plans and Pricing
LogicNodes offers a free tier and paid subscription plans. Paid plans are billed monthly. Current pricing is displayed at checkout and in your account settings.
3.2 Usage Allowances
Each Subscription plan includes a monthly usage allowance denominated in the account’s billing currency. Usage is measured as the monetary cost of AI inference requests processed through the platform and is deducted from this allowance in real time.
Paid plans allow usage beyond the included allowance (overage), billed at the rates displayed in your account settings. Free tier accounts are subject to hard usage limits with no overage.
3.3 Billing and Payment
Payments are processed by Stripe. By providing payment details, you authorize LogicNodes to charge your payment method on a recurring monthly basis. All charges are non-refundable unless otherwise required by applicable law.
3.4 Payment Failure
If payment fails, your subscription will be marked as past due. LogicNodes may restrict access to certain features until payment is resolved. Persistent non-payment may result in suspension or termination of your account in accordance with Section 10.
3.5 Changes to Pricing
We may update pricing with at least 30 days’ notice. Continued use after the notice period constitutes acceptance of the updated pricing.
4. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of applicable laws;
- Attempt to gain unauthorized access to any part of the platform or its infrastructure;
- Transmit harmful, offensive, or malicious content through the platform;
- Reverse engineer, decompile, or otherwise attempt to extract source code;
- Use credentials, API keys, or access tokens belonging to others without their explicit authorization;
- Introduce data into the platform that you do not have the right to process;
- Violate the terms of service of any third-party service integrated with the platform.
Your use of the Services is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference.
5. Data & Privacy
Your use of LogicNodes is also governed by our Privacy Policy. By accepting these Terms, you and your organization are bound by the data processing principles below, which reflect the obligations set out in our Data Processing Agreement (DPA). No separately signed DPA is required; these Terms constitute the written processing arrangement under GDPR Article 28(3).
5.1 Processing on Your Behalf
LogicNodes acts as a data processor on your behalf. We process personal data only as necessary to provide the services you or your organization have instructed — such as executing AI automations, storing conversation context, and managing integrations. Your organization remains the data controller for any personal data introduced into the platform.
5.2 Voice Recordings
The voice recording feature is optional. If you use it, you are responsible for ensuring that all participants in any meeting or conversation you record have given their informed consent to:
- The meeting being recorded; and
- The recording being processed by LogicNodes and our sub-processors (see Sub-processors).
This is your obligation as the person initiating or controlling the recording. LogicNodes processes recordings solely to deliver the services you have requested.
5.3 Voiceprints (Biometric Data)
The speaker identification feature generates voiceprints — biometric voice profiles used exclusively to identify speakers within a recording. Voiceprints constitute special category personal data under GDPR Article 9 and equivalent laws.
- You must obtain explicit consent from each individual before their voiceprint is created, and must be able to demonstrate that consent was given (GDPR Art. 7(1)).
- Voiceprints are linked to a self-chosen name and are not tied to a LogicNodes account. They may relate to individuals who have no LogicNodes account.
- You, as the user initiating the recording, are the data controller for any voiceprints created. You are responsible for:
- Obtaining consent prior to voiceprint creation, and being able to demonstrate that consent was given;
- Deleting a voiceprint promptly upon request from the individual concerned;
- Handling all other data subject rights requests (access, rectification, erasure) relating to voiceprints you have created.
- Upon your written request to kontakt@logicnodes.ai, LogicNodes will assist with the deletion of voiceprints.
You, as data controller, are responsible for receiving and responding to data subject requests from meeting participants whose voiceprints you have created.
5.4 Sub-Processors
We engage sub-processors to deliver our services. By using LogicNodes, you authorize us to engage sub-processors for this purpose. A current list of sub-processors is maintained at /en/subprocessors/.
5.7 EU-Only Data Processing
If you require that all personal data — including AI inference calls — is processed exclusively within the European Union, you may request EU-only data processing by contacting kontakt@logicnodes.ai. When active, AI inference is restricted to EU-based providers only (Mistral AI, Google Cloud EU, Microsoft Azure OpenAI EU, Amazon Bedrock Frankfurt), and voice transcription via ElevenLabs is not available.
5.5 AI Training Prohibition
LogicNodes will not use Customer Content or Outputs to train, fine-tune, benchmark, or evaluate any AI or machine learning model. This prohibition applies regardless of whether the data is pseudonymised or aggregated. For the avoidance of doubt, this does not restrict LogicNodes from using fully anonymised, aggregate platform usage statistics (such as feature adoption rates, request volumes, or model selection frequencies) for internal product development and roadmap planning, provided that such statistics cannot be used to identify any individual or any individual Organisation’s content.
5.8 Automated Decision-Making (GDPR Article 22)
Where your automated workflows produce legal effects or similarly significant effects on data subjects, you are responsible as data controller for ensuring compliance with GDPR Article 22 — including implementing any required human review mechanisms or rights-to-contest processes. LogicNodes processes personal data as data processor on your instructions only and does not provide these safeguards on your behalf. See GDPR Notice §4 for the full disclosure.
5.6 Personal Data — Controller Responsibility
You may introduce any personal data — including special category personal data within the meaning of GDPR Article 9(1) and personal data subject to specific national law requirements — into the Services. By doing so, you accept that you are the data controller for that data and bear sole responsibility for compliance with all applicable laws. LogicNodes acts as your data processor only and does not verify the lawfulness of data you introduce.
You are solely responsible for establishing and maintaining a valid legal basis under GDPR Article 6(1) and, where applicable, Article 9(2); complying with any additional requirements under national law; informing data subjects; handling their rights requests; and implementing safeguards appropriate to the nature of the data. Voiceprints are governed by §5.3 of these Terms.
You indemnify LogicNodes against any claim, penalty, fine, or loss arising from your failure to comply with applicable law in connection with personal data you introduce into the Services.
6. Intellectual Property
6.1 LogicNodes Platform
All rights, title, and interest in the LogicNodes platform — including software, design, and documentation — remain the exclusive property of LogicNodes ApS. These Terms grant you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose.
6.2 Your Content
You retain ownership of all data, inputs, and content you introduce into the platform (“Your Content”). You grant LogicNodes a limited license to process Your Content solely as necessary to provide the services.
6.3 AI-Generated Outputs
Outputs generated by AI automations on your behalf are owned by you, subject to the terms of the AI provider used to generate them. When using LogicNodes-provided AI API keys, the applicable AI sub-processor’s terms may also govern output ownership — refer to /en/subprocessors/ for links to each provider’s terms. When using your own API keys (Bring Your Own Key), the AI provider’s terms apply directly between you and that provider.
6.4 IP Indemnification
LogicNodes will defend and indemnify you against third-party claims alleging that the Services, as provided by LogicNodes and used in accordance with these Terms, infringe a valid patent, copyright, trademark, or trade secret. This indemnification does not apply to claims arising from: (a) Customer Content or Outputs; (b) your modifications to the Services; (c) your use of the Services outside the scope permitted by these Terms or the Acceptable Use Policy; (d) the combination of the Services with third-party products, integrations, or services not provided by LogicNodes; or (e) your continued use of the Services after LogicNodes has provided a non-infringing alternative. This clause applies to paid Subscription plans only. As LogicNodes’ exclusive remedy for an infringement claim, LogicNodes may, at its option: (i) obtain a licence permitting continued use; (ii) modify the Services to be non-infringing; or (iii) terminate your Subscription with a prorated refund of prepaid fees.
7. AI-Generated Outputs and Accuracy
The LogicNodes platform uses AI models to automate tasks and generate outputs. AI models are designed to operate as reliably as possible, but outputs may contain errors, inaccuracies, or unintended results.
You are responsible for how you configure the platform, for overseeing the AI’s actions, and for verifying its outputs. This includes ensuring that your configuration reflects the level of oversight appropriate for your use case. LogicNodes is not liable for consequences arising from AI actions performed under your configuration.
You should not rely solely on AI-generated outputs for critical business, legal, financial, or medical decisions without independent verification.
Platform neutrality. The quality and accuracy of Outputs depend primarily on the AI model you have selected, the instructions and prompts you have provided, and the data you have introduced. LogicNodes makes no warranty regarding the performance of any AI model and is not liable for the quality, accuracy, or suitability of Outputs.
High-risk use — human oversight required. You must not use the Services as the primary automated decision-making system for: (a) medical or clinical decisions, including diagnosis, treatment recommendations, or triage; (b) legal advice to third parties, including automated legal assessments or document generation intended as legal counsel; (c) financial advice to retail consumers, including investment recommendations or credit decisions (this does not prohibit payment processing, invoicing, or accounting automation); or (d) control of critical infrastructure, including energy grids, water systems, or transport networks. If your use case involves any of these areas, you are responsible for ensuring that qualified human oversight is maintained and that all applicable regulatory requirements are met. See also the Acceptable Use Policy.
8. Third-Party Integrations and Connectors
The platform integrates with third-party services such as accounting software, communication tools, and AI providers. LogicNodes is not responsible for the availability, performance, or changes to third-party services and APIs. LogicNodes will make reasonable efforts to maintain integrations and respond to third-party service changes, but cannot guarantee uninterrupted third-party service availability.
8.1 Connector Compliance
By activating a connector to a third-party service, you agree to that service’s terms of service and privacy policy. Data will be transferred to and from the service on your behalf, and you are solely responsible for ensuring that access to your data is lawful — including compliance with any data handling requirements, consent obligations, and usage restrictions imposed by the provider.
LogicNodes acts solely as a technical intermediary for the connection and accepts no responsibility for third-party services’ content, functionality, availability, compliance, or handling of data you transfer through their connectors. The relevant provider’s terms of service and privacy policy govern any such data transfer.
9. Limitation of Liability
Force majeure. Neither party is liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including: distributed denial-of-service attacks; failures of cloud infrastructure providers (including AWS, Vercel, Hetzner, or other sub-processors); natural disasters; acts of war or terrorism; government actions; epidemics; or strikes. The affected party must give prompt notice and use reasonable efforts to resume performance.
Free tier. If you are using the Services on a free Subscription plan, the Services are provided “AS IS” and “AS AVAILABLE” without any representations, warranties, or indemnifications of any kind.
To the maximum extent permitted by applicable Danish and EU law, LogicNodes is not liable for any damages, losses, or incidents resulting from actions performed on or through the platform, including actions carried out by AI automations on your behalf, integrations with third-party services, or decisions made based on AI-generated outputs.
Our total aggregate liability to you shall not exceed the fees paid by you to LogicNodes in the twelve (12) months preceding the claim.
The liability cap in this section does not apply to: (a) obligations under §6.4 (IP Indemnification); (b) claims that cannot be limited by applicable law, including gross negligence or wilful misconduct.
10. Termination
10.1 Termination by LogicNodes
We may suspend or terminate your access to the platform if you violate these Terms or engage in conduct that we reasonably determine to be harmful to the platform, other users, or LogicNodes ApS.
Except in cases of illegal activity, security threats, or serious violations of these Terms, we will provide at least 14 days’ written notice before termination.
10.2 Termination by You
You may terminate your account at any time through your account settings or by contacting kontakt@logicnodes.ai. Termination takes effect at the end of the current billing period. No refund is issued for the remaining period unless required by applicable law.
10.3 Effect of Termination
Upon termination, your access to the platform will cease. You may export your data at any time before termination via your account settings, or by contacting kontakt@logicnodes.ai. Your data will be deleted immediately upon termination, except for the following categories which are retained for their stated purposes and legal grounds:

10.4 Inactive Accounts
LogicNodes may delete accounts that have had no login activity for a period of 12 consecutive months, after giving at least 30 days’ written notice to the email address associated with the account. Before deletion, you may export your data in accordance with §10.3.
11. Complaints and Dispute Resolution
11.1 Filing a Complaint
If you are dissatisfied with the platform or a charge, contact us at kontakt@logicnodes.ai with a description of the issue and any relevant information (screenshots, invoice numbers, dates).
11.2 Response Time
We will acknowledge receipt within 5 business days and aim to provide a resolution within 30 days. If a matter is particularly complex, the response time may be extended; we will notify you in writing if so.
11.3 Disputes
Disputes between LogicNodes ApS and you that are not resolved through the complaints process above are subject to the Governing Law section below.
12. Governing Law
These Terms are governed by the laws of Denmark. Any disputes shall be subject to the exclusive jurisdiction of the courts of Denmark, without prejudice to any mandatory rights you may have under the laws of your country of residence under applicable EU regulations.
12. Confidential Information
What stays private
Each party will keep the other’s confidential information private and not share it with third parties. Sharing is only permitted with employees, contractors, or advisers who need it and are bound by equivalent confidentiality obligations.
If required by law or court order, a party may disclose confidential information — but must give the other party reasonable advance notice where legally possible.
Note: Your content (Customer Content) is treated as LogicNodes’ confidential information under these Terms.
These obligations continue for 3 years after these Terms end.
13. Assignment
Transferring this agreement
Neither party may transfer these Terms to another party without the other’s written consent.
Exception: Either party may transfer these Terms as part of a merger, acquisition, or sale of substantially all assets, provided:
- The new party agrees in writing to all Terms; and
- The transferring party gives at least 30 days’ written notice.
Any transfer that doesn’t follow these rules is void.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 7 days before they take effect. The “Last Updated” date above reflects the most recent revision. Continued use of the platform after the notice period constitutes acceptance of the updated Terms. If you do not accept the changes, you may terminate your account before the changes take effect.
